Terms of Service

These Terms of Service ("Terms") govern your use of the OperonSuite website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully.

1. Services

OperonSuite provides digital services for small businesses, including website design and development (Operon Sites), business operations software (Operon Core), mobile applications (Operon Flow), and custom development services (Operon Dev). The specific scope, deliverables, and pricing for each engagement are agreed upon separately prior to the commencement of work.

2. Eligibility

By using our services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent.

3. Subscriptions and Payment

Certain OperonSuite services are offered on a subscription basis with monthly or annual billing. By subscribing:

  • You authorize us to charge your payment method on a recurring basis at the agreed rate.
  • Subscription fees are billed in advance for each billing period.
  • All fees are non-refundable except as required by law or as explicitly stated in your service agreement.
  • We reserve the right to change pricing with at least 30 days' written notice.

One-time project fees (such as custom setup fees) are billed according to the payment schedule in your individual project agreement.

4. Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you will retain access to your service through that date. We do not charge cancellation fees.

Upon cancellation, your hosted website or application will remain accessible through the end of the paid period. After that, services will be suspended. We will provide reasonable assistance to help you transition to another provider upon request.

5. Intellectual Property

Your content: You retain ownership of all content, text, images, and materials you provide to us. You grant OperonSuite a limited license to use this content solely to provide the services described in your agreement.

Our work: Upon receipt of full payment, you own the custom-designed pages, copy, and visual assets we create specifically for your project. OperonSuite retains ownership of proprietary tools, frameworks, templates, and underlying code used to build and maintain your site.

Your domain: Any domain you own or purchase remains yours. We will never claim ownership of your domain.

6. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations.
  • Distribute spam, malware, or malicious content.
  • Infringe on the intellectual property rights of others.
  • Engage in fraudulent, deceptive, or harmful activity.
  • Attempt to gain unauthorized access to our systems or other clients' data.

We reserve the right to suspend or terminate services immediately for violations of this section.

7. Limitation of Liability

To the fullest extent permitted by law, OperonSuite's total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.

OperonSuite is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available." OperonSuite makes no warranties, express or implied, regarding the reliability, accuracy, or fitness for a particular purpose of our services. We do not guarantee that our services will be uninterrupted or error-free.

9. Indemnification

You agree to indemnify and hold harmless OperonSuite, its owners, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of our services, your content, or your violation of these Terms.

10. Termination

Either party may terminate the service relationship at any time. We reserve the right to suspend or terminate your access to services without notice for violations of these Terms. Upon termination, all licenses granted to you will immediately cease.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Texas.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of our services after changes take effect constitutes your acceptance of the updated Terms.
